MINUTES

The Johnsburg Sanitary District Commission met on Tuesday, March 3rd, 2009, at 9:00 a.m., at the Taycheedah Town Hall, for the purpose of conducting their March monthly meeting. Members present were President Franz Schmitz and Commissioner Ken Schneider. Absent was Commissioner Dennis Lefeber. Also present was Recording Secretary Brenda Schneider.
1. Call to order. President Schmitz called the meeting to order at 9:03 a.m.
2. Approval of meeting minutes. The Commission reviewed the minutes of the 2/3/09 monthly meeting. Hearing no objections, the President declared the minutes approved as presented.
3. Review accounting services provided by Village Accounting. Village Accounting met with the Commission to review financial information in preparation of the 2008 audit.
4. Discuss operational issues. Foul odors are still noticeable in the Johnsburg Road/Schumacher Road area when there is a strong north wind. It is unknown if Calumet Sanitary District has concluded their study.
5. Status of the Operations & Maintenance Agreement with Taycheedah Sanitary District No. 1. The Johnsburg Sanitary Commission submitted a draft Agreement to Taycheedah Sanitary District No. 1 on 10/23/08. Karen Schwengels, President, Taycheedah Sanitary District No. 1, submitted comments; which were reviewed by the Commission at their 1/22/09 meeting. Brenda Schneider reported Johnsburg’s responses to TSD#1 at their monthly meeting on 1/26/09. The full TSD#1 Commission reviewed JSD’s responses at their 2/21/09 meeting. Their responses were received on 3/2/09. JSD’s rebuttal was as follows:
a. Section 3, New Capital Costs: TSD#1 asks if “capital investment” needs to be defined. JSD’s comment was to insert Section VII, pages 25-27 at the end of the first sentence.
b. Section 4, Operation, Maintenance and Replacement Expenses: TSD#1 proposes to expand attributable maintenance wages and attributable inspection wages to include mileage and payroll taxes. JSD does not object to the inclusion of attributable mileage and payroll taxes if the other districts are being billed proportionately for mileage and payroll expenses.
c. Section 4, Operation, Maintenance and Replacement Expenses: An issue of contention amongst the TSD#1 commissioners pertains to the addition of meters at the Gladstone lift station and the Brookhaven lift station and the proportionate billing of operation and maintenance expenses at each of the lift stations. JSD supports proportionate billing at the three lift stations under the condition that the other districts are also billed proportionately at the three lift stations and under the condition that JSD will not financially support the purchase or maintenance of the meters, per the OSG Agreement.
d. Section 4, Operation, Maintenance and Replacement Expenses: TSD#1 suggests reference to third party verification of meter accuracy to be performed by the City of Fond du Lac. JSD provided comment regarding the City’s obligation, per the OSG Agreement, to read and calibrate the flow meters at each connection point. The commented reference will be inserted.
e. Section 8, Payment of Charges. TSD#1 suggested the addition of the following sentence If JSD disputes a billing, or an amount of billing, JSD must convey subject and amount of dispute to TSD#1, in writing, within 15 or 30 days of receipt of bill. JSD proposed 45 days.
f. Section 11, Duration of Contract: TSD#1 suggest a 2-year initial contract. JSD prefers to retain the automatic annual renew language. However, as noted in a comment provided to TSD#1, JSD is willing to insert However, both Parties agree to thoroughly review and possibly amend this Agreement within three (3) years from the date of acceptance. The sentence will be altered to two years and inserted.
g. Section 11, Duration of the Contract: Chairman Schmitz suggests creating a new paragraph for the following included sentence: The rights and obligations set forth in this Agreement shall bind the successors, heirs and assigns of the parties.
h. Closing signatory lines: TSD#1 suggests the removal of titles and insertion of all commissioners names. JSD objects to the removal of titles but concurs with the addition of all commissioners.
6. Approval of District bills. Ken Schneider motioned to approve the bills totaling $17,273.62 (order nos. 17-26), and to authorize the following:
• Transfer $17,200.00 from the User Charge Account to the regular checking account for operational expenses,
• Transfer $134.57 from the Inspections Account to the regular checking account for inspection wages,
• Transfer $5,087.01 from the User Charge Account to the Debt Service Account, and
• Transfer $412.46 from the User Charge Account to the Reserve for Replacement.
The motion was seconded by Franz Schmitz. Motion carried (2-0-1 absent).

• OSG Semi-Annual Meeting, March 19th, 3:30 p.m., North Fond du Lac Community Center
• JSD monthly meeting, April 14th, 9:00 a.m., at the Taycheedah Town Hall
8. Commissioners’ reports and comments.
9. Adjournment. The Chairman declared the meeting adjourned at 11:42 a.m.
